Business Law

  • Advise and represent clients on business structuring, restructuring, corporate governance, shareholder agreements, inter-company agreements, and general corporate compliance.
  • TWL assists clients' legal departments with customized services in structuring, implementation and/or management of specific legal projects or functions, being it a group reorganization involving multiple jurisdictions or entity types; or internal communication with stake holders, other professional advisors, or between HQ and subsidiaries; or coordinating specific legal proceedings.
  • TWL provides outside general counsel service to select clients which are yet to establish their own legal departments. M&A Private Equity

Working with a highly specialized and highly effective team of attorney specialists and investment bankers, TWL acts as a specialty counsel and advises clients on either side of the middle market M&A transactions, US domestic or with cross-border elements; and represents startup companies in all stages of private funding round transactions.

Due Diligence/Investigation

E-COMMERCE Advise and represent B2B e-commerce clients and ISPs on operation of online marketplace, concerning a broad spectrum of issues faced by today's e-commerce operations, from online terms and conditions, online terms of sale, privacy compliance, data security compliance, IP compliance; to conflict management and dispute resolution mechanisms vis-a-vis users and non-users of e-commerce platforms. ARBITRATION Arbitration offers an alternative dispute resolution forum to courts, which is a process guided by parties in accordance with their contracts containing an arbitration clause. Compared with litigation in courts, arbitration provides parties with the benefits of: *Confidentiality of the proceeding; *Ability to choose neutral arbitrators who poccess desired expertise to hear their cases; *Flexibility to design the arbitration proceeding by working with the arbitral tribunal and the resulting efficiency of the process; and *Enforceability of the arbitral awards by courts globally based on international treaties and national laws. MEDIATION Mediation is a means of alternative dispute resolution method, whereby parties bring their disputes to a neutral mediator in an effort to reach a settlement agreement via a mediator assisted structured process. Different from litigation and arbitration which are determined in accordance with the applicable law, mediation is interest based whereby parties seek a voluntary and amicable solution to accomodate their respective interests going forward, and create a "win win" for all parties. TWL attorneys are able to assist parties, either as an advocate representing clients in a mediation, or as a neutral mediator, in domestic and international commercial disputes, in an effort to devise settlement solutions that focus on forward looking synergy, positive utilization of resources, and efficient voluntary resolution of disputes.
